1. Commercial Services & Bookings

Regular grounds and garden maintenance services are provided according to the agreed scope, frequency and schedule.

The work included will depend on the individual site and may include lawn care, hedge and shrub maintenance, weeding, pruning, seasonal maintenance, general grounds care and other agreed garden maintenance tasks.

The scope and frequency of regular services may be reviewed where the needs of the site change significantly over time.

1.1 Regular Grounds & Garden Maintenance

1.2 One-Off Commercial Works

1.3 Scheduling & Service Requirements

EDENS may undertake one-off garden maintenance works for commercial and managed properties.

The scope and price of one-off works will be agreed before work begins and may be based on a quotation following a site visit or consultation.

Where additional work is requested, or conditions are discovered which could not reasonably have been identified when the work was quoted, EDENS may provide a revised quotation or agree an additional charge before proceeding.

Regular visits will be scheduled at an agreed frequency. Exact attendance times may vary according to weather, seasonal working conditions, previous appointments and operational requirements.

Where a customer has particular access times, noise restrictions, site rules or other requirements affecting when work can be carried out, these should be provided to EDENS before the service begins.

Where such requirements materially affect the time or resources required to provide the service, the price or service arrangement may need to be reviewed.

Quotations for commercial work are based on the information available to EDENS at the time of assessment and the agreed scope of work.

Quotations may separately identify labour, plants, materials, waste disposal, collection or delivery costs and other charges where appropriate.

Any quotation is subject to the General Terms & Conditions, including the provisions relating to changes in scope, unforeseen circumstances and supplier pricing.

2. Quotations, Consultations & Design

2.1 Quotations for Commercial Work

2.2 Consultation Fee

2.3 Design & Consultation Fee

A £50 consultation fee may apply where a site visit and assessment are required in order to prepare a quotation for substantial one-off commercial works.

The fee covers the time required to visit the site, discuss the customer's requirements, assess the work and prepare the resulting quotation.

The consultation fee is payable in advance.

Where the customer accepts the resulting quotation and EDENS completes the work, the £50 consultation fee will be credited against the final invoice.

If the customer chooses not to proceed with the quoted work, the consultation fee is not refundable.

A £75 design and consultation fee may apply where one-off commercial works involve a substantial garden overhaul requiring both clearance or reworking of an existing area and the planning of new planting.

The fee covers the site consultation and assessment together with the time required to develop an appropriate planting proposal, including plant selection, positioning and quantities where applicable.

The design and consultation fee is payable in advance.

Where the customer accepts the resulting quotation and EDENS completes the work, the £75 design and consultation fee will be credited against the final invoice.

If the customer chooses not to proceed with the quoted work, the design and consultation fee is not refundable.

3. Site Access & Working Arrangements

3.1 Site Access

3.3 Health, Safety & Site Requirements

3.2 Site Contacts & Instructions

The customer is responsible for ensuring that EDENS has suitable access to the areas in which the agreed work is to be carried out.

Any gates, security arrangements, access codes, parking restrictions or other relevant access information should be provided in advance.

Where EDENS is unable to carry out scheduled work because suitable access has not been provided, the visit may be treated as a cancellation in accordance with the General Terms & Conditions.

The customer should nominate an appropriate person to act as the principal contact for the site where reasonably practicable.

Instructions affecting the agreed scope, price or frequency of work should be provided by an authorised representative of the customer.

Where conflicting instructions are received from different people associated with the site, EDENS may pause the affected work until the customer confirms how we should proceed.

Customers must inform EDENS of any known hazards, site-specific safety requirements or restrictions which could reasonably affect the work.

This includes relevant information concerning restricted areas, underground or concealed services, hazardous materials, vehicle movements, vulnerable site users or other known risks.

EDENS reserves the right to postpone, modify or stop work where conditions are considered unsafe.

Where plants or materials are required for commercial work, these may be supplied by EDENS and charged in accordance with the quotation or agreed scope of work.

For regular grounds and garden maintenance, reasonable quantities of small routine consumables may be included on a fair-use basis where agreed as part of the service.

Bulk materials, plants and significant quantities of products or consumables are not included unless expressly stated and will be charged separately.

Where materials are purchased specifically for one-off work, EDENS may require payment in advance.

If the work is subsequently cancelled, the customer remains responsible for any costs that EDENS cannot reasonably recover, including non-returnable materials, restocking charges and associated delivery or collection costs.

Any significant work requested outside the agreed scope may be treated as additional work.

Where reasonably practicable, EDENS will confirm the additional work and any associated charge before proceeding.

Where a requested variation materially changes the nature, duration or cost of the work, EDENS may issue a revised quotation.

Garden waste and other arisings will only be removed from site where this forms part of the agreed service or quotation.

Where waste disposal is charged separately, the charge may reflect the volume and type of waste together with the reasonable costs associated with its removal and lawful disposal.

Unexpected or additional waste outside the agreed scope may incur an additional charge.

5. Accounts & Service Arrangements

5.1 Purchase Orders & Invoicing

5.2 Regular Service Arrangements

5.3 Suspension or Termination of Services

Where a customer requires a purchase order, reference number, supplier number or other information to appear on an invoice, the customer must provide the relevant details to EDENS before the invoice is issued.

Where a purchase order is required by the customer's own payment procedures, the customer is responsible for arranging and providing it in sufficient time for the agreed work.

Invoices will be issued in accordance with the agreed commercial arrangement and are payable in accordance with the payment terms stated on the invoice.

A customer's internal administrative or payment procedures do not alter the agreed payment terms unless EDENS has expressly agreed otherwise in writing.

Either party may end an ongoing regular commercial service arrangement by providing reasonable written notice, subject to any notice period specifically agreed between EDENS and the customer.

EDENS reserves the right to suspend services where invoices remain overdue, safe or reasonable access cannot be provided, site conditions prevent the agreed work from being carried out, or there has been a serious or repeated failure to comply with the agreed service arrangements.

Where reasonably practicable, EDENS will notify the customer of the issue and provide an opportunity for it to be resolved before an ongoing service is terminated.

Any outstanding invoices or other sums properly due remain payable following suspension or termination.

Regular commercial maintenance arrangements may be reviewed periodically to ensure that the agreed frequency, scope and price remain appropriate for the site.

EDENS may propose changes where there has been a significant change in the condition or requirements of the site, the amount of work required, operating costs or other circumstances affecting the service.

Any material change to the agreed service or price will be communicated to the customer before it takes effect.
